Russia adopts legislative amendments setting new buyback call option requirements for foreign “unfriendly” investors

On August 4, President Putin signed a law allowing buyback call option agreements held by foreign investors from "unfriendly" jurisdictions to be terminated by court order. The respective amendments were introduced to the law "On Foreign Investments in the Russian Federation".

Adopted regulatory framework allows current business owners or industry regulators to file claims for the termination of the buyback call option agreement, which are then considered by the Moscow Region Arbitration Court. The provisions of the law came into force upon official publication today.

The law increases legal uncertainty and creates additional risks for foreign investors considering market re-entry or asset recovery.
